NAPKIN APPLICATION LLC
These Terms of Use are an agreement between you and NAPKIN APPLICATION LLC, an Illinois limited liability company ("Napkin," "we," "us," or "our"). They govern your use of the Napkin mobile application and related services. By creating an account, accepting these Terms, or using Napkin, you agree to these Terms and the Community Guidelines and acknowledge the Privacy Policy. If you do not agree, do not use Napkin.
1. Eligibility
You must be at least 18 years old, have the legal capacity to agree to these Terms, and be permitted to use Napkin under applicable law. Napkin is not intended for minors. You may not create an account for another person or allow a minor to use your account.
2. What Napkin Does
Napkin is a location-based missed-connections service. It lets adults post location-linked notes ("Napkins"), view active Napkins, respond with a note and user-submitted selfie, accept or reject a response, and chat after a response is accepted.
Napkin does not guarantee that a post will reach the person described, that a responder is that person, that user information is accurate, that any user is safe or trustworthy, or that an interaction will lead to a relationship. Email confirmation, profile photos, selfies, and accepted responses do not verify identity or safety.
3. Your Account
Provide accurate information, protect your login credentials, and promptly contact us if you believe someone accessed your account without permission. You are responsible for activity through your account unless you promptly report unauthorized access.
- Do not impersonate another person or use another person’s information or image.
- Do not sell, transfer, share, or lend your account.
- Do not create replacement accounts to evade a block, suspension, restriction, or ban.
- Do not use bots or unauthorized automation to create or operate accounts.
4. Public and Location-Linked Content
Napkins are designed to be found by location. An active Napkin and the location selected by its author may be visible to registered users and signed-out visitors. A location, time, description, username, or combination of details may allow others to identify a person, routine, or real-world interaction.
Do not publish a private residence, another person’s live location, last name, phone number, email, workplace schedule, license plate, or other information that could identify, locate, embarrass, or endanger someone. Do not identify shelters, medical visits, schools, places of worship, or other sensitive locations.
A Napkin may become unavailable because it expires, is deleted, is connected, is removed through moderation, or otherwise becomes ineligible for public display.
5. Responses, Selfies, Connections, and Chat
Respond only when you genuinely believe a Napkin concerns you or you have another legitimate reason to respond. A response must be truthful. A selfie must depict you, must be an image you have the right to use, and must not be deceptive or sexually explicit.
The author may reveal a submitted selfie while reviewing a response. Accepting a response may open a chat, but it is not proof of identity or safety. A Napkin’s expiration, deletion, or closure does not automatically end an existing chat. Disconnecting prevents future communication but may leave the other participant with an anonymized copy of the shared chat history.
6. Your Content
You retain ownership of the Napkins, responses, profile information, photos, selfies, chats, reports, and other content you submit ("User Content").
You grant Napkin a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, format, and process User Content only as reasonably necessary to operate the service, show content to its intended audience, maintain security, investigate reports, enforce our rules, comply with law, and maintain or improve functionality. This license lets us use service providers acting on our behalf; it does not transfer ownership of your content to us.
The license ends when the applicable content is deleted from our systems, except where limited retention is reasonably necessary for backups, safety investigations, legal compliance, dispute resolution, or content already shared with another user. You represent that you have the rights needed to submit your content and that it does not violate law, these Terms, the Community Guidelines, or another person’s rights.
7. Prohibited Conduct
- Harassing, stalking, threatening, bullying, intimidating, shaming, or doxing anyone.
- Repeatedly contacting or posting about someone who declined, blocked, disconnected, or asked you to stop.
- Hate, discrimination, sexual exploitation, grooming, trafficking, or any sexualized content involving a minor.
- Pornography, nonconsensual intimate imagery, sexual extortion, or sexually explicit content.
- Impersonation, scams, fraud, blackmail, financial solicitation, phishing, or deceptive activity.
- Violence, illegal activity, self-harm promotion, spam, advertising, or repetitive solicitation.
- Infringing intellectual-property, privacy, publicity, or other legal rights.
- Scraping, harvesting, reverse engineering, disrupting, overloading, or bypassing the service or its safety controls.
- Manipulating reports, evading rate limits, blocks, suspensions, or bans, or helping someone else violate these Terms.
8. Personal Safety
NAPKIN DOES NOT CONDUCT CRIMINAL BACKGROUND SCREENINGS ON ITS MEMBERS.
Anyone capable of identity theft may also falsify a profile. There is no substitute for caution when communicating with a stranger. Never send money, gift cards, cryptocurrency, passwords, verification codes, or financial information to another user.
If you meet someone, choose a populated public place, tell a trusted person where you are going, arrange your own transportation, keep your phone available, and leave if you feel unsafe. Napkin is not an emergency, law-enforcement, identity-verification, or background-screening service. If anyone may be in immediate danger, call 911 or the appropriate local emergency service.
9. Reporting, Blocking, and Moderation
You may report a Napkin and block its author using available in-app tools. We may investigate reports and remove content, limit visibility or features, restrict messaging, warn a user, suspend or terminate an account, prevent ban evasion, preserve information, or refer a matter to authorities when required or reasonably necessary.
We may act without advance notice when reasonably necessary to protect users, Napkin, or others. Moderation decisions may involve incomplete or conflicting information. Eligible decisions may be appealed through Support & Appeals.
10. Account Deletion and Termination
You may initiate account deletion in Settings. If you cannot access your account, contact Support. We may restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created a safety or legal risk, abused Napkin, or if maintaining the account is no longer reasonably practicable.
Deleting your account removes your sign-in, private profile, photos, and favorites; retires your Napkins and responses from public or account-linked use; and de-identifies shared chat records where supported by the deletion workflow. Other participants may retain shared chat history under "Deleted user." Limited moderation, security, audit, abuse-prevention, backup, or legal records may remain, as described in the Privacy Policy.
11. Napkin’s Intellectual Property
Napkin’s software, visual design, branding, logos, and non-user content are owned by or licensed to NAPKIN APPLICATION LLC and protected by applicable law. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use Napkin according to these Terms.
12. Third-Party Services
Napkin may rely on third-party mapping, hosting, authentication, notification, and platform services. Those services may have separate terms and privacy policies. We are not responsible for third-party services outside our control.
13. Service Changes
We may modify, suspend, or discontinue features. We do not guarantee that content, chats, or other features will remain available indefinitely.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAPKIN IS PROVIDED "AS IS" AND "AS AVAILABLE." NAPKIN DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
NAPKIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL CONTENT, OR THAT USERS ARE WHO THEY CLAIM TO BE. YOU ARE RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. NAPKIN IS NOT RESPONSIBLE FOR USER CONTENT OR ONLINE OR OFFLINE CONDUCT BY USERS OR OTHER THIRD PARTIES, EXCEPT WHERE LIABILITY CANNOT LAWFULLY BE EXCLUDED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAPKIN AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR OPPORTUNITIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAPKIN’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID NAPKIN DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW OR TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
16. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless NAPKIN APPLICATION LLC and its members, managers, employees, and contractors from third-party claims arising from your User Content, unlawful conduct, infringement of another person’s rights, or material violation of these Terms.
17. Governing Law
These Terms are governed by Illinois law, without regard to conflict-of-law principles, except where mandatory law in your jurisdiction applies. Subject to mandatory consumer rights, disputes arising from these Terms or Napkin will be brought in the state or federal courts located in Illinois, and you consent to their jurisdiction.
18. Changes and General Terms
We may update these Terms and will provide notice of material changes as required by law. When required, we will ask you to accept updated Terms before continuing to use account-based features.
If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition, financing, reorganization, or sale of assets. These Terms and the Community Guidelines govern your use of Napkin; the Privacy Policy explains our data practices.
